Terms for the 60-Day Sports PT Revenue & Retention Sprint

How These Terms Work
These Sprint Terms supplement and incorporate the Terms of Service, Privacy Policy, and Business Associate Agreement (for US clinics) or Data Processing Addendum (for non-US clinics) you have accepted. In the event of a conflict, these Sprint Terms govern for Sprint-specific matters.
Electronic Signature & Acceptance
These Sprint Terms become legally binding when you check the acceptance checkbox, type your name in the signature field, and click "Confirm Enrollment." Your electronic signature has the same legal effect as a handwritten signature.

The 60-Day Sports PT Revenue & Retention Sprint ("Sprint") is a done-for-you implementation program designed to help your clinic:
The Sprint is delivered through the Clinic OS Pro platform (see https://clinicospro.com/legal/terms for software terms). Your Sprint enrollment includes access to Clinic OS Pro during the 60-day Sprint. Continued access after Day 60 is provided under a separate paid subscription to Clinic OS Pro.

Success Requires Your Participation
The Sprint is a collaborative program. Your timely participation is essential for success.
To ensure a successful Sprint, you agree to:
If you do not meet the obligations in this Section 5, we may pause work or adjust the Sprint plan. We are not responsible for any under-performance or missed opportunities caused by your delays, failure to provide access, or failure to implement agreed actions. The Sprint timeline may be extended to account for client-caused delays, but fees remain non-refundable.
You remain solely responsible for your clinic's compliance with all healthcare, privacy, and marketing laws (including HIPAA, TCPA, CAN-SPAM, CASL, and similar laws). Our role is to assist with business processes; we do not provide legal or regulatory advice.
The Sprint investment amount and payment schedule are specified in your enrollment confirmation or proposal. Standard payment terms are:
Sprint fees are non-refundable once services have commenced. If you cancel before your kickoff call, we will refund your payment minus any administrative costs incurred.
After the 60-day Sprint, your Clinic OS Pro access continues under the then-current subscription terms and pricing set out in the Clinic OS Pro Terms of Service. You may cancel your subscription in accordance with those terms.
NO GUARANTEED RESULTS
We do NOT guarantee any specific revenue outcomes, patient retention rates, or business results. Results vary based on your clinic's specific circumstances, market conditions, staff execution, patient population, and many other factors beyond our control.
Any projections, estimates, case studies, or testimonials are for illustrative purposes only and should not be construed as guarantees. Past performance by other clinics does not guarantee similar results for you.
Any performance-based guarantees, conditional refunds, or "pay-on-results" structures will only apply if they are expressly set out in a separate written proposal, order form, or addendum signed by both parties. Absent such written terms, no guarantees apply and all fees are earned based on services rendered, not results achieved.
All Sprint calls (kickoff, optimization, support) may be recorded and transcribed for:
By participating in Sprint calls, you consent to recording and to the biometric data processing described in our Privacy Policy.
You may opt out of recording for specific meetings by notifying us in writing before the meeting begins.
You retain ownership of your clinic's content, branding, and patient data.
Our methodologies, frameworks, templates, and systems ("Consultant IP") remain our property. You receive a non-exclusive license to use Consultant IP as incorporated into your Sprint deliverables.
Custom message templates, campaign configurations, and reports created specifically for your clinic become yours upon full payment, subject to the license for any underlying Consultant IP.
Both parties agree to maintain confidentiality of proprietary information shared during the Sprint. This includes:
Confidentiality obligations survive for 3 years after Sprint completion.
You may terminate the Sprint at any time by written notice. However, fees for services already rendered are non-refundable. Your Clinic OS Pro access continues per the ongoing subscription terms.
We may terminate the Sprint if:
Upon termination:
The limitation of liability provisions in the Terms of Service apply to the Sprint. In no event will our aggregate liability arising out of or relating to the Sprint exceed the Sprint fees you paid, and in any case will not exceed the overall limitations of liability set out in the Terms of Service.

In the event of a conflict, these Sprint Terms govern for Sprint-specific matters. For all other matters, the Terms of Service govern.
